These Terms of Use ("Terms") govern your access to and use of the website at vandiya.com and the products and services (together, the "Services") provided by Vandiya Technologies Private Limited ("Vandiya," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Vandiya provides software for growing businesses, including a CRM, AI-powered tools, and related growth services. We may add, change, or discontinue features over time to improve the Services.

2. Eligibility & accounts

You must be at least the age of majority in your jurisdiction and able to enter into a binding contract to use the Services. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to misuse the Services. Among other things, you will not: use the Services for any unlawful purpose; upload malicious code; attempt to gain unauthorized access to systems or data; interfere with or disrupt the Services; infringe others' intellectual property or privacy rights; send unlawful, deceptive, or unsolicited communications; or use the Services to violate applicable messaging, marketing, or data-protection laws.

4. Subscriptions, billing & payments

Some products are offered on a subscription or one-time basis. Fees, billing cycles, and product details are presented at the point of purchase in our store or at checkout. Payments are processed by third-party payment providers, and your use of their services is subject to their terms. Unless stated otherwise or required by law, payments are non-refundable. You are responsible for any applicable taxes.

5. Your data & content

You retain ownership of the data and content you submit to the Services ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Services. You are responsible for ensuring you have the rights and any necessary consents to use Customer Data in the Services, and for complying with laws that apply to it. Our handling of personal information is described in our Privacy Policy.

6. Intellectual property

The Services, including all software, text, graphics, and trademarks, are owned by Vandiya or our licensors and are protected by law. Except for the rights expressly granted to you, we reserve all rights in the Services. You may not copy, modify, distribute, sell, or reverse engineer any part of the Services except as permitted by law.

7. Third-party services

The Services may integrate with or link to third-party products and services. We are not responsible for third-party offerings, and your use of them is governed by their own terms.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, Vandiya will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Services. To the extent liability cannot be excluded, our total liability is limited to the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Vandiya harmless from claims, damages, and expenses arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Services or other users. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts located in Chennai, Tamil Nadu, India will have jurisdiction over any disputes, subject to any mandatory rights available to you under local law.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
